Honorary Secretary

The Honorary Secretary acts as the Company Secretary for ICG Limited, and in constitutional matters acts as 'watchkeeper' on behalf of the members.

Council are seeking applications from Members with a good knowledge and understanding of the Institute's Memorandum and Articles of Association

Key tasks include:

  • Ensuring that AGM agenda and papers are distributed in accordance with the Articles
  • Ensuring that Elections of Officers and appointments to Committees are carried out in accordance with the Articles
  • Ensuring that Council Representatives are elected in accordance with the Articles
  • Ensuring that Board and Company meetings are convened and that minutes are taken, that the Company's statutory books are written up and that Company Returns are filed with the Registrar of Companies.
  • Being Lead Adviser to the Ethics and Standards Committee
  • Director of Career Guidance Ltd.

The postholder will have the full support of HQ staff, particularly the Executive Director, in discharging their duties.

 

Honorary Treasurer

The Honorary Treasurer acts as 'watchkeeper' on behalf of members in financial matters, presenting a financial report to each meeting of Council and to the membership as a whole at AGM.

Council are seeking applications from Members who are experienced in accounting procedures.

Key tasks include:

  • Liaison with the Chief Executive to ensure that monthly management accounts are produced, using these as the basis for the Treasurer's report to Council meetings
  • Chairing the Audit Committee of the Institute, which examines the draft annual accounts on behalf of Council
  • Ascertaining, through the Audit Committee, the financial viability, probity and financial health of the Institute, and reporting accordingly to members at AGM
  • Director of Career Guidance Ltd.

The postholder will have the full support of HQ staff, particularly the Executive Director and Finance & Operations Manager, in discharging their duties.

For both posts the following are essential criteria:

  • Full member or Fellow of the Institute
  • Has the confidence of the membership
  • Familiarity with responsibilities of not-for-profits or charitable organisation

Each of the above posts currently carry an annual Honorarium of £3,050 plus travel expenses. The postholders are members of the Board of Directors of the Institute and members of Council. Council meets 3 times per annum, and the Board of Directors meets on average every 4-6 weeks.

All applications must be received by 2 June 2008 and will be considered by a panel of Council members in June, with a view to making appointments to take effect from the next AGM on 13 November 2008.
